Terms of Service

1. Acceptance of Terms

By accessing or using Anor Cloud's GPU compute services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Services

Anor Cloud provides on-demand GPU compute resources including NVIDIA H100 and B300 GPUs. Services are provided on an “as available” basis through our web platform, CLI, and API.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 18 years old or the age of majority in your jurisdiction
  • One person or entity may not maintain multiple free accounts

4. Acceptable Use

You agree NOT to use the Services to:

  • Violate any applicable laws or regulations
  • Mine cryptocurrency without explicit written permission
  • Conduct attacks on other systems or networks
  • Distribute malware, viruses, or malicious code
  • Infringe on intellectual property rights
  • Process data in violation of privacy laws (GDPR, CCPA, etc.)
  • Engage in activities that harm minors
  • Circumvent usage limits or access controls

We reserve the right to suspend or terminate accounts that violate these terms without refund.

5. Payment Terms

  • All fees are charged in US Dollars
  • GPU usage is billed per minute of active reservation
  • Payment is processed through Stripe; you authorize recurring charges
  • Prices may change with 30 days notice for existing reservations
  • No refunds for unused compute time except at our discretion
  • Accounts with unpaid balances may be suspended

6. Service Level Agreement

  • We target 99.9% uptime for GPU availability
  • Scheduled maintenance will be announced 48 hours in advance when possible
  • Service credits may be issued for downtime exceeding SLA at our discretion
  • SLA does not cover: customer-caused issues, force majeure, third-party failures

7. Data and Content

  • Your Data: You retain all rights to data you upload or process on our Services
  • Our Access: We do not access your data except for support, security, or legal compliance
  • Data Location: Data is processed in the United States unless otherwise specified
  • Backup: You are responsible for backing up your data; we do not guarantee data persistence

8. Intellectual Property

  • Anor Cloud retains all rights to the Services, platform, and related technology
  • You retain all rights to your code, models, and outputs generated using our Services
  • Feedback you provide may be used to improve our Services without compensation

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANOR CLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Anor Cloud from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

  • You may close your account at any time
  • We may suspend or terminate accounts for Terms violations
  • Upon termination, your right to use the Services ends immediately
  • Provisions that should survive termination will survive (IP, liability, indemnification)

13. Dispute Resolution

  • These Terms are governed by the laws of Delaware, USA
  • Any disputes shall be resolved through binding arbitration in Delaware
  • Class action waiver: disputes must be brought individually, not as part of a class

14. Modifications

We may modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use after changes constitutes acceptance.

15. General

  • These Terms constitute the entire agreement between you and Anor Cloud
  • Failure to enforce any provision does not waive our right to enforce it later
  • If any provision is found unenforceable, the remaining provisions remain in effect
